Burnout Breakthrough Terms and Conditions

These Terms and Conditions (the “Terms”) govern your purchase of and access to the Burnout Breakthrough digital educational workshop (the “Workshop”) offered by Colibri Magic, LLC (“Colibri Magic,” “we,” “us,” or “our”). Please read these Terms before purchasing or using the Workshop.

By selecting an acceptance checkbox, completing a purchase, accessing the Workshop, or downloading Workshop materials, you agree to these Terms. If you do not agree, do not purchase or use the Workshop.

1. The Workshop

Burnout Breakthrough is a self-guided educational workshop. It includes six pillars of guided lessons and downloadable reflection, planning, and related tools. You may work through the Workshop on your own schedule during your access period.

The Workshop is not a live service, professional consultation, individualized coaching, medical care, mental health care, therapy, diagnosis, treatment, or management of any condition.

2. Eligibility and Account Information

You must be at least 18 years old and legally able to enter into a binding contract to purchase the Workshop.

You agree to provide accurate, current, and complete purchase and account information. You are responsible for activity through your account and for safeguarding your credentials. Promptly email [email protected] if you believe your credentials have been lost, misused, or accessed without authorization.

3. Purchase and Payment

The price for the Workshop is the amount clearly displayed at checkout when you place your order. The Workshop is sold as a one-time purchase. These Terms do not create an automatic renewal, subscription, or recurring billing obligation.

You authorize the payment processor used at checkout to charge the total price and any applicable taxes or charges shown before you submit your order. We may decline or cancel an order if payment is not authorized, cannot be completed, or appears fraudulent or abusive.

Access is intended to be made available after a completed purchase. Retain your confirmation. If you do not receive access instructions, email [email protected].

4. Final Sale and No-Refund Policy

All purchases are final and non-refundable. Colibri Magic does not provide refunds, returns, credits, or exchanges for Burnout Breakthrough once a purchase is completed, except where required by applicable law.

This policy applies regardless of the reason for the request, including if you:

change your mind or experience a change in priorities, schedule, business needs, leadership, budget, or financial circumstances;
do not access, begin, complete, or use all or part of the Workshop during the one-year access period;
are dissatisfied with the Workshop content, format, delivery method, or results;
do not achieve a particular personal, professional, wellbeing, or business outcome;
experience a technical issue, provided that we will use reasonable efforts to help resolve verified access or delivery problems;
voluntarily stop using the Workshop or ask us to close your account;
lose access because you violated these Terms; or
are affected by a permitted update to the Workshop, these Terms, or future pricing.

The Workshop is a one-time purchase rather than a subscription, so there is no recurring plan to cancel. Stopping use before the end of the one-year access period does not cancel or reverse the completed purchase.

If you believe you were charged more than once for the same purchase, the charge was unauthorized, or you did not receive the access purchased, email [email protected] promptly so we can review the transaction. A review of a billing or delivery issue does not create a general right to a refund.

The complete Refund Policy is incorporated into these Terms.

5. One-Year Access and Limited License

Your access period begins on the date your purchase is completed and continues for one year from the purchase date, unless access is earlier suspended or terminated under these Terms.

Subject to these Terms and completed payment, Colibri Magic grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access the Workshop during that one-year period and to use expressly downloadable tools for your own personal, noncommercial educational use.

Your purchase is for one individual user. It does not give you ownership of the Workshop or the right to share credentials, resell access, distribute materials, teach the Workshop, publish its content, or commercially exploit it.

Downloaded materials lawfully obtained during your access period may remain in your possession after access ends, but your limited-use obligations and all intellectual-property restrictions continue.

6. Acceptable Use

You may use the Workshop only lawfully and in accordance with these Terms. You may not:

share your account, credentials, access links, or purchased materials with another person;
reproduce, modify, translate, publish, sell, rent, lease, sublicense, distribute, or publicly display Workshop content except where these Terms expressly allow personal use of a provided download;
use Workshop content to create or provide a competing product, course, training, or service;
remove copyright, trademark, attribution, or other proprietary notices;
interfere with, disrupt, probe, scan, or test the security or operation of the Workshop or related systems;
use bots, scrapers, data-mining tools, or other automated means to access or extract Workshop content except as permitted by applicable law; or
use the Workshop in an unlawful, deceptive, abusive, infringing, or harmful manner.

7. Intellectual Property

The Workshop and all associated videos, lessons, text, tools, worksheets, prompts, graphics, designs, names, logos, and materials are owned by or licensed to Colibri Magic and are protected by applicable intellectual-property laws. All rights not expressly granted in these Terms are reserved.

Nothing in these Terms transfers an intellectual-property right to you. Your individual license does not permit you to:

reproduce, copy, distribute, publish, upload, transmit, or sell Workshop content in any format;
create derivative courses, training materials, presentations, templates, or commercial products based on Workshop content;
use Workshop materials to train, coach, or provide access to other employees, clients, customers, team members, or third parties;
share recordings, screenshots, transcripts, assessments, worksheets, downloads, prompts, or other Workshop materials outside your individual use;
incorporate the Workshop's proprietary frameworks, methodologies, or branded materials into another training program, product, or service; or
use Colibri Magic, Catie Campbell, Burnout Breakthrough, or related names, marks, or claimed outcomes in advertising or marketing without prior written permission.

Unauthorized reproduction, credential sharing, redistribution, or commercial use may result in immediate suspension or termination of access without a refund. Colibri Magic may also pursue any remedies available under applicable law, including recovery of damages and injunctive relief. These remedies are cumulative and do not limit other rights or remedies.

8. Educational Disclaimer and No Professional Advice

The Workshop provides general education, self-reflection, and planning tools. It is not medical care, mental health care, therapy, diagnosis, treatment, or a substitute for individualized care from a qualified professional. The Workshop does not diagnose, treat, cure, prevent, or manage any condition.

The Workshop is not legal, financial, tax, employment, or other professional advice. You are responsible for your decisions and for seeking qualified advice when appropriate.

If you are concerned about your health, safety, or wellbeing, seek help from a qualified health or mental-health professional. In an emergency or immediate danger, contact emergency services or an appropriate crisis resource.

9. Results Disclaimer

Individual circumstances, effort, decisions, and other factors vary. Colibri Magic does not promise or guarantee a particular result, including changes in stress, wellbeing, work performance, relationships, habits, capacity, or any other outcome. Testimonials and examples do not promise that you will achieve the same or any result.

10. Third-Party Services

The Workshop may be delivered through or link to third-party platforms, payment processors, websites, or services. Those parties operate under their own terms and privacy practices. We do not control their content, availability, security, or practices.

A third-party outage, change, or discontinuation may affect functionality outside our reasonable control. When reasonably possible, we may use an alternative method to provide materially similar access during the stated access period.

11. Workshop Availability, Modifications, and Pricing Changes

We aim to make the Workshop reasonably available during your one-year access period. Access may be interrupted or delayed by maintenance, technical issues, platform outages, security concerns, or circumstances outside our reasonable control.

We may update, revise, reorganize, add to, remove, suspend, or discontinue portions of the Workshop or change its structure, content, technology, platform, or delivery method when reasonably necessary to maintain quality, relevance, security, accessibility, operations, or legal compliance. When a change is significant and we have a current email address for you, we will use reasonable efforts to provide notice by email.

A permitted Workshop modification does not create a right to compensation, a credit, or a refund. We will not use this provision to eliminate the material substance of the purchased Workshop without providing a reasonable alternative where applicable law requires one.

We may change the price of the Workshop for future purchases at any time. A later price increase, decrease, discount, promotion, or special offer does not change the amount of a purchase you already completed and does not create a right to a refund, credit, or price adjustment. Promotions are offered at our discretion and may be changed or ended at any time, subject to applicable law.

12. Suspension and Termination

You may stop using the Workshop at any time. Voluntarily stopping, withdrawing, or asking us to close your account does not reverse the completed purchase and does not create a right to a refund, credit, or exchange. Unless you specifically request account closure or access is otherwise terminated under these Terms, your access may remain available until the end of the one-year access period.

We may suspend or terminate access immediately if we reasonably believe you:

violated the intellectual-property, account-sharing, or use restrictions in these Terms;
failed to pay an amount that was validly due or initiated a fraudulent or abusive payment dispute;
supplied materially false information during purchase or account creation;
engaged in fraud, unlawful conduct, harassment, abuse, or conduct that creates a material security, legal, operational, or reputational risk; or
used the Workshop in a way that could materially harm Colibri Magic, the Workshop, another user, or a third party.

Upon termination, your access license ends and you must stop using and distributing Workshop content. Termination does not affect rights or obligations that arose before termination. No refund or credit will be provided when access ends because of voluntary withdrawal, requested account closure, or a violation of these Terms, except where applicable law requires otherwise.

13. Disclaimers of Warranties

To the maximum extent permitted by law, the Workshop is provided on an “as is” and “as available” basis. Colibri Magic disclaims all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free availability.

We do not warrant that the Workshop will meet your needs, be available at all times, be free of errors or harmful components, or produce a particular result. Some jurisdictions do not allow certain disclaimers, so some provisions may not apply to you.

14. Limitation of Liability

To the maximum extent permitted by law, Colibri Magic will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, loss of goodwill, business interruption, or the cost of substitute services arising from the Workshop or these Terms, even if advised of the possibility of those damages.

To the maximum extent permitted by law, Colibri Magic’s total liability for all claims arising from the Workshop or these Terms will not exceed the amount you paid for the Workshop giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

15. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Colibri Magic and its members, managers, employees, contractors, and agents from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms, unlawful use of the Workshop, or infringement of another person’s rights.

16. Governing Law and Disputes

These Terms and any dispute arising from the Workshop are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent another law must apply and cannot be waived.

Before filing a formal claim, you agree to email [email protected] with a written description of the concern. You and Colibri Magic will attempt in good faith to resolve the matter informally.

If the dispute is not resolved informally, you agree that any legal action must be brought in a state or federal court located in Texas that has jurisdiction over the dispute, unless applicable consumer law requires another forum. Each party consents to the jurisdiction of those courts to the extent permitted by law.

These Terms do not require arbitration and do not waive any non-waivable consumer right.

17. Changes to These Terms

We may update these Terms to reflect changes in the Workshop, our operations, technology, legal requirements, or business practices. The most current Terms will be posted on our website and will state a revised effective date.

When a change is material and we have a current email address for you, we will use reasonable efforts to provide at least 30 days' advance notice by email before the change takes effect, unless a shorter period is reasonably necessary to address a legal requirement, security concern, fraud risk, or urgent operational issue. We will request affirmative consent when applicable law requires it.

Updated Terms apply prospectively from their stated effective date. Continued use of the Workshop after the effective date constitutes acceptance of the updated Terms to the extent permitted by law. If you do not agree, stop using the Workshop. Stopping use does not create a refund, credit, or cancellation right for a completed purchase.

18. General Terms

These Terms, the purchase confirmation, the Refund Policy, and policies expressly incorporated by reference form the agreement between you and Colibri Magic concerning the Workshop.

Our Privacy Policy explains how we handle personal information. If you elect to receive text messages, the SMS Terms also apply to that optional messaging program.

If a provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign your rights or obligations without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or asset transfer, subject to applicable law.

Sections that by their nature should survive will survive the end of access, including intellectual property, disclaimers, liability limits, indemnification, disputes, and general terms.
